Terms of sale

This is a courtesy translation. Only the French version is legally binding; in the event of any discrepancy, the French text prevails.

The basis of every order. They apply as soon as a quotation is signed.

Preamble

These general terms form the basis of the commercial negotiation. They are given to every client so that they may place an order, and set out the rights and obligations of DISTRI-COM and its client for the sale of its products and services: large-format digital printing, polystyrene cutting and shapes, modular structures, hoardings, signs and signage, paint and lacquering, 3D printing, hire, fitting and installation.

Unless otherwise agreed, placing an order implies the client’s full and unreserved acceptance of these terms, to the exclusion of any other document — leaflet, catalogue — which is indicative only. No particular condition may prevail over them without DISTRI-COM’s written acceptance. Any contrary condition put forward by the client is unenforceable against DISTRI-COM, whenever it was brought to its attention.

DISTRI-COM reserves the right, under its own responsibility, to subcontract all or part of the order.

Definitions

  • Quotation: the document issued by DISTRI-COM setting out the characteristics of the products and services offered — reference, quantity, cost, payment terms, place and date of delivery or collection.
  • Order form: either the quotation countersigned and stamped by the client, or the client’s own order form reproducing the quotation and its reference without modification. It constitutes signature of the contract and acceptance of these terms.
  • Client: any party signing a contract with DISTRI-COM.
  • Delivery date: either direct handover of the products to the client, or notice that they are available, or handover to a carrier at our premises.
  • Products and Services: any product or service of design, manufacture, printing, making-up, hire and installation offered by DISTRI-COM.

1 · Orders

Every order is preceded by a quotation issued by DISTRI-COM. Confirmation is made either by returning the countersigned quotation without modification or reservation, or by a client order form reproducing without modification the characteristics of the quotation and its reference.

Confirmation entails unreserved acceptance of these terms and waiver of the client’s own purchasing conditions. Any accepted order is firm and final. The benefit of the order is personal to the client and may not be assigned without DISTRI-COM’s written consent.

2 · Prices

Prices are those in force on the day of the order. They are stated in euros and calculated excluding tax; VAT and applicable carriage are added. DISTRI-COM may change its prices at any time, but undertakes to invoice goods ordered at the prices stated when the order was recorded.

3 · Discounts and rebates

The prices offered include the discounts and rebates DISTRI-COM may grant, in particular under the reseller and distributor tiers.

4 · Early settlement

No discount is granted for early payment.

5 · Payment

Payment is made by bank transfer, direct debit, card or cheque. When the order is recorded, a deposit of 30 % of the total amount is paid, the balance being due on receipt of the goods. Our invoices are payable on receipt, unless otherwise agreed in writing.

6 · Late payment

In accordance with articles L. 441-10 and D. 441-5 of the French Commercial Code, any late payment automatically gives rise, without prior formal notice, to:

  • late-payment interest at the rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points;
  • a fixed recovery-costs indemnity of €40, without prejudice to further compensation on production of evidence.

7 · Termination clause

If, within fifteen days of the late-payment clause being invoked, the client has not paid the sums due, the sale is terminated automatically and may give rise to damages in favour of DISTRI-COM.

8 · Retention of title

DISTRI-COM retains ownership of the goods sold until the price has been paid in full, in principal and ancillary amounts. Should insolvency proceedings be opened against the client, DISTRI-COM reserves the right to reclaim the goods sold and left unpaid.

9 · Intellectual property

DISTRI-COM may use all the know-how arising from the development of its products. Unless the client states otherwise, it reserves the right to include in the work a mention of the type “designed and built by DISTRI-COM”.

The client enjoys the use of the product and of the compositions, graphics and layouts produced by DISTRI-COM for the order; they may be assigned, licensed, modified or disclosed to third parties only with DISTRI-COM’s written consent.

Visuals, photographs and texts supplied by the client must be accompanied by the author’s reproduction authorisation, or by a statement from the client declaring that it holds that right. Failing that, DISTRI-COM is released from all liability in this respect. Originals and media entrusted to us are treated as working copies: their loss, accidental destruction or incomplete return cannot give rise to compensation.

10 · Right of reference

Unless the client objects in writing, DISTRI-COM reserves the right to cite the work as a reference in its commercial activity, external communication and advertising.

11 · Delivery

Delivery is made either by making the goods available at our premises, or at the place indicated by the client, or by handover to a carrier at our premises. The lead time stated at the order is indicative; a reasonable delay cannot give rise to damages or to cancellation of the order.

Transport risk is borne by the client. Where goods are missing or damaged, the client must record reservations on the delivery note on receipt, then confirm them by recorded-delivery letter within three days of delivery, in accordance with article L. 133-3 of the French Commercial Code.

12 · Force majeure

DISTRI-COM cannot be held liable where non-performance or delay results from an event of force majeure within the meaning of article 1218 of the French Civil Code.

13 · Disputes

These terms are governed by French law. Failing amicable settlement, any dispute relating to their interpretation or performance is brought before the Commercial Court of Versailles.
